1. Acceptance of Terms

By accessing or using Vaultr ("the Service," "we," "us," or "our") at vaultr.pro, you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service. These terms constitute a legally binding agreement between you and 1001541506 Ontario Inc., doing business as "Vaultr," a corporation incorporated in the Province of Ontario, Canada (the "Company"). References in these Terms to "Vaultr," "we," "us," or "our" mean 1001541506 Ontario Inc.

2. Eligibility

You must be at least 18 years of age to create an account, add funds, make purchases, or use any feature of Vaultr. By using the Service, you represent and warrant that you are at least 18 years old. We reserve the right to request proof of age at any time and to suspend or terminate accounts where age requirements are not met.

3. Account Registration

To use Vaultr, you must create an account with a valid email address and username. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to:

  • Provide accurate and complete information during registration
  • Keep your login credentials secure and not share them with others
  • Notify us immediately of any unauthorized access to your account
  • Not create multiple accounts to abuse promotions or platform features

4. Wallet & Platform Credits

Vaultr uses a wallet-first model. You add funds to your Vaultr wallet, then use your balance to access platform services. Key details:

  • Deposits: You can add funds via credit or debit card, Apple Pay, Google Pay, or ACH (processed by Coinflow Labs Limited, our third-party payment processor)
  • Platform credits: Your wallet balance represents prepaid platform credits used to access Vaultr's services, including certificate acquisition, marketplace transactions, and redemption fees. Platform credits are not a bank account, deposit account, stored-value card, or financial instrument under applicable law
  • Usage: Platform credits can be used to acquire certificates of ownership, purchase certificates on the marketplace, or pay redemption and shipping fees
  • Withdrawals: Subject to identity verification (KYC), you may request conversion of platform credits to cash via Coinflow's payout network — ACH for standard payouts, Real-Time Payment (RTP) for instant payouts where supported (see Section 10)
  • Non-transferable: You cannot transfer platform credits directly to another user's account

5. Mystery Packs & Certificates of Ownership

Vaultr offers mystery packs that grant the purchaser a digital Certificate of Ownership for a randomly selected, professionally graded Pokemon trading card. Pack tiers range from $25 to $500 USD. A mystery pack purchase is a contract for the sale and supply of a real, identifiable, professionally graded physical good held in custody on your behalf — every pack delivers a graded Pokemon card with verifiable market value, the full card pool and exact pull rates are disclosed on each pack page before purchase, and a voluntary buyback (Section 6) lets you recover most of your spend as platform credits. Key disclosures:

  • Certificate of Ownership: When you open a mystery pack, you acquire a digital Certificate of Ownership for a specific graded card. This certificate is a digital record of your ownership rights. No physical goods are delivered at the time of purchase
  • Underlying asset: Each certificate corresponds to a real, graded Pokemon card that exists in Vaultr's secure custody at the time of issuance. The physical card is held on your behalf until you choose to redeem it for physical delivery
  • Random selection: The specific card assigned to your certificate is randomly determined at the time of opening. The market value of the card is not guaranteed to equal or exceed the pack price
  • Provably fair: Pack openings use a cryptographic seed hashing system. A hashed seed is generated before your purchase and revealed after opening, so you can independently verify that the result was not manipulated
  • Odds disclosure: The probability distribution for each value tier is displayed on the pack page before purchase
  • Final sale: Once a pack is opened, the randomized selection is complete and the certificate is issued. Because the digital service has been consumed (the random outcome revealed and a specific card assigned), opened packs are non-refundable. This does not affect any statutory rights you may have under applicable consumer protection legislation (see Refund Policy)

6. Buyback Program

After opening a mystery pack, Vaultr may offer to repurchase the certificate from you. Buyback is a voluntary offer by Vaultr to repurchase your Certificate of Ownership; if accepted, the certificate is transferred back to Vaultr and platform credits are applied to your wallet (subject to the same terms as all platform credits, see Section 4).

6.1 Rate. The buyback rate is determined by your Trainer Rank at the time you accept the offer, per the published Trainer Rank ladder on the Trainer page:

Rates are expressed as a percentage of the card's market value at the time of the offer. The exact dollar amount is displayed before you accept.

6.2 Window. The buyback option is available for a limited window of 7 days after the pack is opened. After that window closes, buyback is no longer available for that certificate.

6.3 Rank timing. The rate that applies is the rate associated with your Trainer Rank at the moment you accept the buyback offer, not the rank you held when the pack was opened. Ranking up between opening and acceptance can therefore increase the rate; downgrading does not occur as the ladder is XP-monotonic.

6.4 Schedule changes. Vaultr may revise the rates or rank thresholds in the table above with at least 30 days' advance notice communicated via email or a prominent notice on the Service. Pending buyback offers issued before a change takes effect remain governed by the rate disclosed at the time of the offer.

6.5 Not a refund. Buyback is not a refund, return, or guarantee of value. It is a separate, voluntary transaction in which you sell your Certificate of Ownership back to Vaultr in exchange for platform credits.

7. Promotional Bonuses & Free Pack Offers

From time to time, Vaultr runs promotional offers that grant a free pack ("Bonus Pack") to qualifying users. The terms below apply to every Bonus Pack unless the specific promotion's published page states otherwise. The currently active offer is STARTER50 (free $25 Starter Bonus Pack on a qualifying deposit of $50 or more), described illustratively throughout this Section 7.

  • 7.1 Eligibility. Eligibility for each Bonus Pack is set by its specific promotion: some offers are limited to a user's first settled deposit, while others (including the current STARTER50 offer) may be claimed on any qualifying deposit regardless of deposit history. In every case, each promotional code may be claimed only once per account (one Bonus Pack per user per code). Promotions may not be combined unless expressly stated.
  • 7.2 Activation. A Bonus Pack is granted when a user (a) clicks a Vaultr promotional link (e.g., vaultr.pro/r/STARTER50) that sets a tracking cookie, or (b) manually enters a valid active promotional code in the Add Funds cashier on a qualifying deposit. The code is applied automatically when the deposit settles and the deposit amount meets the offer's minimum threshold ($50 for STARTER50).
  • 7.3 Paid-pack requirement. Each Bonus Pack is delivered to the user's vault in a locked state. The card inside the Bonus Pack cannot be shipped or redeemed until the user has spent an amount equal to the qualifying deposit ($50 for STARTER50) in cash-funded pack purchases on the platform. Pack purchases made using Bonus balance, marketplace purchases, and deposits themselves do not count toward the paid-pack requirement; only cash-funded pack purchases do. The card is never eligible for buyback or marketplace listing, whether locked or unlocked (see 7.5 and 7.6); satisfying the paid-pack requirement unlocks redemption (physical shipment) only.
  • 7.4 Unlock window. The paid-pack requirement must be satisfied within 7 calendar days of the Bonus Pack being credited to the user's vault. If the requirement is not satisfied within that window, the Bonus Pack and its card are forfeited: Vaultr reclaims the card and returns it to the pack pool, and the bonus is permanently void. No equivalent credit, replacement pack, or cash refund is issued.
  • 7.5 After unlock — redeem-only. Once the paid-pack requirement is met, the Bonus Pack's card unlocks for redemption only: you may have the physical card shipped to you. It remains permanently non-sellable — even after unlock it cannot be sold back to Vaultr for credit or listed on the marketplace. This differs from cards pulled from cash-funded packs, which are eligible for buyback and marketplace listing.
  • 7.6 Non-transferable & non-sellable. Bonus Packs and the cards they contain are non-transferable and non-assignable, and the card has no buyback or resale cash value at any time, whether locked or unlocked. The card is redeem-only: it cannot be gifted, sold back to Vaultr, listed on the marketplace, or exchanged. The only way to take possession is redemption (physical shipment) after unlock.
  • 7.7 Abuse. Creating multiple accounts to claim multiple Bonus Packs, using stolen payment methods, automating signups, or otherwise attempting to circumvent the eligibility or paid-pack rules constitutes a material breach of these Terms. Vaultr may, at its sole discretion, freeze affected accounts, void affected Bonus Packs (locked or unlocked), reverse any related cash-out attempts, and take further action under Sections 15, 16, and 17.
  • 7.8 Modification & revocation. Vaultr reserves the right to modify, suspend, or discontinue any promotion at any time, with or without notice, and to change the terms of future Bonus Packs. Changes affecting already-granted Bonus Packs will be communicated to the affected user with at least 30 days advance notice unless the change is required to comply with applicable law or to prevent fraud, in which case it may take effect immediately.
  • 7.9 Tax treatment. The fair market value of a Bonus Pack, once unlocked and disposed of, may be a taxable benefit in your jurisdiction. You are solely responsible for any tax obligations arising from receipt or disposition of a Bonus Pack.

8. Marketplace

Vaultr provides a peer-to-peer marketplace where certificate holders can list and transfer Certificates of Ownership to other users. Rules:

  • 0% fees: Vaultr charges no transaction fees on marketplace transfers
  • Certificate transfer: When a certificate is sold on the marketplace, ownership of the digital certificate transfers from seller to buyer. No physical goods change hands. The underlying card remains in Vaultr's custody
  • New account hold: New accounts are subject to a 48-hour hold before marketplace listings become active, to prevent fraud
  • Wash trading prohibited: Buying your own listings, coordinating trades to manipulate prices, or any form of wash trading is strictly prohibited and will result in account suspension
  • Ownership: By listing a certificate, you represent that you are the rightful holder
  • Proceeds: Transfer proceeds are credited to the seller's wallet as platform credits

9. Physical Redemption, Fees & Cancellation

You may redeem your Certificate of Ownership for physical delivery of the underlying card. Redemption converts your digital certificate into a physical good. Key terms:

  • Shipping fee — live carrier rate (Canada Post, USPS, or UPS — whichever is cheapest and available for your address). You see the exact carriers, services, and prices before you confirm
  • Handling fee — flat $4 USD per shipment, covering packaging, insurance (up to $200 USD declared value), and fulfillment labour
  • Applicable taxes: Because redemption constitutes the supply of a service together with the physical delivery of a tangible good, applicable Canadian sales tax (HST, GST, and/or provincial sales tax) is calculated on the combined fair market value of the redeemed card(s), shipping fees, and handling fees at the time of redemption, based on the shipping destination province. The card itself is not re-purchased at redemption — legal title transferred to you at certificate acquisition — but the redemption is the taxable event for the underlying tangible personal property under Canadian sales-tax rules. Tax is not charged at the time of certificate acquisition (mystery pack opening) or peer-to-peer certificate transfer on the marketplace
  • All fees are deducted from your wallet balance at the time of submission, after you review the exact line-item breakdown and confirm. Prices shown before confirmation are final.
  • Cancellation window: You may cancel a redemption for a full refund of shipping, handling, and tax as long as its status is pending (that is, a carrier shipping label has not yet been purchased for your shipment). Once we purchase a label, the shipment moves to processing and self-service cancellation is no longer available — please contact support. Once shipped, cancellation is not available and the returns process applies
  • Automatic cancellation: Redemptions that remain in pending status for more than 14 days are automatically cancelled and the full amount is refunded to your wallet. The underlying card returns to your vault
  • Once shipped, risk of loss transfers to you upon delivery to the carrier
  • Once delivered, redeemed cards cannot be returned to the vault. Your certificate is marked as redeemed and is no longer transferable

International Shipments & Import Duties: Vaultr ships from Ontario, Canada. If you are located outside of Canada, your shipment may be subject to customs duties, import taxes, tariffs, or other charges imposed by your country's government. These charges are:

  • Entirely your responsibility. Vaultr does not pay, reimburse, or absorb any customs duties, import taxes, or tariffs
  • Not included in the shipping fee or redemption cost shown on Vaultr
  • Determined by your country's customs authority, not by Vaultr. Rates vary by country and may change without notice
  • Vaultr has no control over these charges and cannot predict the exact amount you will be charged
  • Refusal to pay import duties resulting in the return or destruction of a shipment does not entitle you to a refund

We recommend checking your country's customs regulations before requesting redemption.

10. Withdrawals

You may withdraw funds from your wallet to your bank account or debit card:

  • KYC required: Before your first withdrawal, you must complete identity verification through Persona, our third-party identity-verification provider (used in conjunction with Coinflow)
  • Payout method: Withdrawals are processed via Coinflow Labs Limited. You will need to provide and verify your bank account through Coinflow's payout flow (ACH or Real-Time Payment, depending on availability)
  • Processing time: Withdrawals typically take 2-5 business days to arrive, depending on your bank and payment method
  • Vaultr reserves the right to delay or deny withdrawals if fraud or TOS violations are suspected

11. Certificates & Provenance Tokens

Each Certificate of Ownership is identified by a unique Vaultr token in the format VLT-XXXX-XXXX-XXXX. These tokens:

  • Serve as the unique identifier for each Certificate of Ownership and its complete provenance chain
  • Are publicly verifiable at vaultr.pro/verify/[token]
  • Track the full chain of ownership, including acquisition source, transfer history, and timestamps
  • Persist across peer-to-peer transfers, maintaining an unbroken provenance record
  • Are not NFTs, cryptocurrency, or blockchain-based tokens
  • Are not transferable outside the Vaultr platform

12. Custody & Vault Storage

Vaultr provides custodial storage for the physical cards underlying your Certificates of Ownership. While cards remain in custody:

  • Your Certificate of Ownership represents your rights to the underlying physical card
  • Vaultr securely stores and protects all custodied cards against loss, theft, and damage
  • You may transfer your certificate to another user on the marketplace, redeem it for physical delivery, or sell it back to Vaultr via the buyback program
  • Vaultr does not charge custody or storage fees for cards held in the vault

13. Pricing & Tax Treatment

All prices are displayed in US Dollars (USD). Card market values are determined using recent completed sales data from major Pokemon card marketplaces and pricing APIs. All payments are processed securely through Coinflow Labs Limited, our third-party payment processor. Vaultr does not store your payment card details.

Currency: All prices, balances, and fees on Vaultr — including the handling fee — are denominated and charged in U.S. Dollars (USD). Carrier shipping rates quoted in Canadian Dollars are converted to USD for display and billing using a daily exchange rate. Where applicable Canadian sales tax applies to a redemption, it is calculated on the USD transaction amount. Your card-issuer or bank may apply its own conversion rate when settling the USD charge in your local currency.

Tax treatment: Certificate acquisitions (mystery pack openings) and peer-to-peer certificate transfers on the marketplace are digital transactions and are not subject to sales tax at the time of transaction. Applicable Canadian sales tax (HST/GST/PST) is assessed only upon physical redemption of a certificate, when the underlying card is shipped to you. The taxable base at redemption is the combined fair market value of the redeemed card(s), shipping fees, and handling fees (see Section 9). Tax rates are determined by the shipping destination province. The card itself is not re-purchased at redemption; legal title transferred to you at the point of certificate acquisition.

14. Responsible Use

Mystery packs involve an element of chance. While every pack guarantees a real, graded Pokemon card, the market value of the card you receive may be less than the pack price. Vaultr encourages all users to:

  • Set a personal spending budget and stick to it
  • Treat mystery packs as entertainment, not as an investment or income strategy
  • Use the buyback program if a pull does not meet your expectations
  • Contact support@vaultr.ca if you wish to temporarily restrict your account from purchasing packs

Vaultr reserves the right to impose purchase limits or cooling-off periods on any account at its discretion.

15. Prohibited Conduct & Sanctions

You may not use the Service if you are located in, under the control of, or a national or resident of any country or territory subject to Canadian or international trade sanctions or embargoes. By using Vaultr, you represent and warrant that you are not on any sanctions list maintained by the Government of Canada, the United Nations, the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or any other applicable jurisdiction.

You further agree not to:

  • Use the Service for money laundering, terrorist financing, or any illegal purpose
  • Attempt to circumvent any security, rate-limiting, or fraud prevention measures
  • Create multiple accounts to exploit promotions, referral programs, or platform features
  • Use automated tools, bots, or scripts to interact with the Service without written permission
  • Engage in any activity designed to manipulate prices, deceive other users, or defraud Vaultr

16. Investigations & Cooperation

Vaultr reserves the right to investigate any suspected violation of these Terms. If Vaultr reasonably believes that criminal activity has occurred, Vaultr may refer the matter to and cooperate with applicable law enforcement authorities. Vaultr may require you to provide additional information or documentation at any time, including to comply with anti-money laundering laws, counter-terrorism financing requirements, or requests from competent authorities. Failure to provide requested information may result in suspension of your account and restriction of services.

17. Account Freezing & Termination

Vaultr reserves the right to suspend your account and freeze your wallet balance pending investigation if:

  • You file a chargeback on a legitimate transaction
  • We detect fraudulent activity on your account
  • You violate these Terms of Service
  • You engage in wash trading or market manipulation
  • You use bots, scripts, or automated tools without permission

Vaultr may forfeit some or all of your wallet balance only where forfeiture is necessary to: (a) recover amounts charged back, refunded, or reversed by a payment provider on a transaction you initiated; (b) recover amounts obtained through proven fraud, wash trading, or coordinated price manipulation; or (c) satisfy a final judgment, regulatory order, or legitimate third-party claim against you. In all other cases, suspended balances are restored once the underlying matter is resolved.

If your account is suspended due to a chargeback, the disputed amount will be deducted from your wallet balance and you will be required to resolve the dispute before access is restored.

18. Intellectual Property

The Vaultr name, logo, website design, and original content are the property of Vaultr. Pokemon is a trademark of Nintendo / The Pokemon Company. Vaultr is not affiliated with, endorsed by, or sponsored by Nintendo or The Pokemon Company. All card images and trademarks belong to their respective owners.

19. User Content & Feedback

18.1 Feedback. By submitting any feedback, suggestions, ideas, or improvement proposals to Vaultr (whether through the Service, email, support channels, or any other channel), you grant Vaultr a non-exclusive, worldwide, royalty-free, perpetual and irrevocable license to use, reproduce, modify, and incorporate such feedback into the Service or any successor product, without obligation of attribution or compensation. You represent that you have the right to submit such feedback and that it does not infringe any third-party rights.

18.2 User-uploaded content. For content you upload to the Service through your account (including profile images, support attachments, and any other files submitted via account features), you grant Vaultr a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display such content solely as necessary to operate and provide the Service. This license terminates when you delete the content or close your account, except to the extent retention is required for legal, audit, fraud-prevention, or backup purposes. You represent that you have the right to upload such content and that it does not infringe any third-party rights.

20. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Vaultr's total liability for any claim shall not exceed the amount you paid for the specific product or transaction giving rise to the claim
  • Vaultr is not liable for any indirect, incidental, special, consequential, or punitive damages
  • Card market values fluctuate. Vaultr does not guarantee the current or future market value of any card
  • Vaultr is not liable for losses resulting from unauthorized access to your account caused by your failure to secure your credentials
  • Vaultr is not liable for delays or failures caused by third-party services (Coinflow, Persona, shipping carriers, etc.)

21. Data Protection

We collect and process your personal information in accordance with our Privacy Policy, which describes how we handle your data, your rights, and our compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA). In the event of a breach of security safeguards involving your personal information that creates a real risk of significant harm, Vaultr will notify you and report to the Office of the Privacy Commissioner of Canada in accordance with PIPEDA s.10.1, and will maintain a record of the breach for at least 24 months as required by PIPEDA s.10.3.

22. Dispute Resolution

If you have a dispute, please contact us first at support@vaultr.ca so we can attempt to resolve it informally. If we cannot resolve a dispute within 30 days, either party may pursue resolution through the courts of the Province of Ontario, Canada.

23. Indemnification

You agree to indemnify and hold harmless Vaultr, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

24. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

25. Business Continuity

In the event of insolvency, bankruptcy, or permanent cessation of Vaultr's business operations, Vaultr will implement procedures to return physical cards to their rightful certificate holders. Users will be notified and given instructions to arrange return of their cards. Users are responsible for covering shipping costs and any applicable taxes associated with the return of their cards. The return process must be initiated within 90 days of notification. Vaultr will not offer monetary reimbursement except for facilitating the return of physical assets.

26. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use of Vaultr after changes are posted constitutes acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service.

27. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

28. Force Majeure

Vaultr is not liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, pandemic, war, civil unrest, governmental action or order, changes in applicable law, cyberattack, denial-of-service attack, internet or telecommunications outages, and the failure, suspension, or material degradation of third-party services on which the Service depends (including but not limited to the payment processor, identity-verification provider, shipping carriers, and the custody vendor). During a force majeure event Vaultr will use commercially reasonable efforts to mitigate the impact and resume normal operation. This Section 28 does not limit Section 25 (Business Continuity), which governs the procedure for permanent cessation of operations.
